Marketing Services Agreement ("Agreement") is entered into by and between Blue Collar Business Systems (dba Blue Collar Growth Marketing Agency), and the Client, effective upon the date of acceptance.
1. Scope of Services
Agency agrees to provide the following marketing services to Client:
- Weekly Ad Account Optimizations
- Campaign Build-outs from Scratch or Rebuilds
- Custom Audience Creation (location, income, interest-based)
- Audience Testing to Maximize ROI
- Retargeting Campaign Setup
- High-Converting Ad Copy Creation
- Ad Copy Testing + Optimization
- Image Creative Production
- In-App Facebook Lead Form Design & Setup
- Offer Development Recommendations
- Conversion Tracking Audits
- Budget Management + Recommendations
2. Payment Terms
Client agrees to pay Agency as follows:
- Monthly Recurring Fee: $995.00
- Accepted Payments: ACH, credit card, or pre-approved methods
- Due on the same day of each month as your signup date
3. Term and Termination
- 12-month term from signing
- Renewed for another 12 months unless canceled with 30 days' notice
- Adding new services restarts the 12-month term
4. Intellectual Property
- Agency retains ownership of created IP (websites, code, marketing assets)
- Client owns content provided to Agency
- Client can buy out website IP after 12 months of service
5. No Guarantee of Specific Results
- No guarantees on lead volume or revenue
- Agency is not liable for platform algorithm changes
6. Confidentiality
- Both parties must protect proprietary and strategic info, surviving contract termination
7. Non-Disparagement
- Neither party may slander or defame the other, online or offline
8. Limitation of Liability
- No warranties provided
- Liability limited to 1 month of fees
- No responsibility for indirect or consequential damages
9. Force Majeure
- Neither party is liable for events beyond control (e.g., disasters, tech failure)
10. Default
- Non-payment results in service pause or cancellation
11. Indemnification
- Each party protects the other against claims of negligence, IP issues, or contract breach
12. Governing Law
- Governed by laws of Florida
- Legal actions handled in Pinellas County, Florida
13. Attorney's Fees
- Prevailing party in legal disputes may recover legal fees
14. Entire Agreement
- This is the complete agreement. Any changes must be in writing and signed
15. Severability
- If a part is unenforceable, the rest remains valid
16. Assignment of Rights
- Agency can assign this agreement with notice; client cannot assign without permission
17. Digital Acceptance & Binding Effect
By checking the acceptance box and submitting payment, you ("Client") acknowledge that you have read, understood, and agreed to be legally bound by the full terms of this Bluzi AI Marketing Services Agreement. This action shall constitute your acceptance of the terms, and this Agreement shall be effective as of the date of submission.
