All Services are provided according to separate agreements between the Client and Agency.
3. Client Agreement & Payment Terms If you are a Client under a separate Marketing Services Agreement:
Fees: You agree to pay fees as specified in your Agreement, including setup and recurring payments.
Payment Methods: Payments are accepted via ACH, credit card, or other approved methods.
Non-Payment: Failure to pay may result in suspension or termination of Services.
Contract Renewal: Agreements automatically renew unless canceled in writing 30 days before the term ends.
4. Intellectual Property
Agency-Owned Materials: All materials, including websites, logos, and marketing content, remain our property unless transferred under a written agreement.
Client-Owned Content: You retain ownership of content you provide for marketing purposes.
5. No Guarantee of Specific Results We use industry best practices but cannot guarantee specific outcomes, such as a set number of leads or revenue increases.
6. Confidentiality Both parties agree to keep confidential all business information and strategies shared during our partnership.
7. Non-Disparagement Both parties agree not to publicly criticize, defame, or disparage each other during or after the term of this Agreement.
8. Limitation of Liability
No Warranties: Services are provided “as is” without guarantees.
Liability Cap: Our liability is limited to fees paid in the one (1) month preceding a claim.
No Indirect Damages: We are not responsible for special, indirect, or consequential damages.
9. Force Majeure Neither party is liable for failure to perform due to causes beyond reasonable control, such as natural disasters or technological failures.
10. Indemnification Each party agrees to indemnify and hold harmless the other from liabilities due to negligence, contract breaches, or intellectual property violations.
11. Governing Law & Attorney’s Fees
Jurisdiction: These Terms are governed by Florida law.
Legal Disputes: Any disputes will be resolved in Pinellas County, FL.
Attorney’s Fees: The prevailing party in a dispute may recover legal costs.
12. Entire Agreement & Amendments These Terms, along with our Privacy Policy and any signed agreements, constitute the entire agreement. Amendments must be in writing and signed by both parties.
13. Assignment
We may assign our rights under these Terms without Client consent.
Clients may not assign rights without prior written approval.
14. Solicitation We will not solicit your employees, customers, or leads for competing businesses.
15. Changes to These Terms We reserve the right to update these Terms. Continued use of our website or Services after updates constitutes acceptance.
